PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN AN ARBITRATION AGREEMENT, A CLASS-ACTION WAIVER, A JURY-TRIAL WAIVER, AND A LIMITATION OF LIABILITY THAT AFFECT YOUR LEGAL RIGHTS. SEE SECTIONS 14 AND 15.
These Terms of Service ("Terms") govern your access to and use of https://craftsmenresources.com and any related websites, content, features, and services we provide (collectively, the "Site"), which is operated by Craftsmen Resources LLC, an Oklahoma limited liability company ("Craftsmen Resources," "we," "us," "our").

If you are using the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes both you and that organization.
You must be at least sixteen (16) years old and capable of forming a binding contract under applicable law to use the Site. The Site is not directed to children under 16. By using the Site, you represent and warrant that you meet these requirements.
Subject to your compliance with these Terms, Craftsmen Resources grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal or internal business purposes, including evaluating our services, submitting inquiries, applying for employment opportunities, or subscribing to communications. This license does not include any right to:

"Submission" means any information, content, message, document, file, image, resume, application, comment, or other material you submit, transmit, or upload to or through the Site, including via any form.
By making a Submission, you represent and warrant that:
You grant Craftsmen Resources and its service providers a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, fully transferable license to host, store, use, reproduce, modify (for technical purposes such as formatting), display, and disclose the Submission solely for purposes of operating the Site, responding to your Submission, evaluating your candidacy or inquiry, and otherwise carrying out our business as described in our Privacy Policy.

We have no obligation to retain, respond to, follow up on, or use any Submission. We may delete, refuse, or remove any Submission at any time and for any reason.
Submitting a worker application or otherwise expressing interest in employment through the Site does not create an employment relationship, an agency relationship, or any obligation by us to consider, contact, hire, or engage you. All employment is subject to our standard hiring processes, including background checks, drug screening, verification of qualifications, reference checks, and execution of separate written employment documents. No statement on the Site or in our communications constitutes a binding offer of employment.
Staffing inquiries submitted through the Site are non-binding solicitations of information. They do not create a contract for services, do not commit Craftsmen Resources to provide any worker or service, and do not establish pricing, terms, or scope. All staffing engagements are subject to a separate, written services agreement signed by both parties.
Job listings on the Site are provided for informational purposes only. Listings may be filled, modified, or withdrawn at any time without notice. A listing does not constitute an offer of employment, and no language on the Site shall be construed as creating a contract or implied contract with respect to any listed position. All employment offers are made in writing and signed by an authorized representative of Craftsmen Resources.
The Site, including all text, images, photographs, illustrations, graphics, audio, video, animations, design elements, software, trade dress, and other content (collectively, "Site Content"), is owned by or licensed to Craftsmen Resources and is protected by United States and foreign intellectual-property laws, including copyright, trademark, and trade-secret laws.
The names, logos, and designs "Craftsmen Resources," the Craftsmen Resources emblem, and "The Architectural Standard in Staffing," are trademarks of Craftsmen Resources LLC. All other trademarks appearing on the Site are the property of their respective owners.
Nothing in these Terms grants you any right, title, or interest in the Site Content other than the limited license described in Section 3.
If you provide feedback, suggestions, or ideas regarding the Site or our services ("Feedback"), you assign to Craftsmen Resources all right, title, and interest in the Feedback, and Craftsmen Resources may use the Feedback for any purpose without compensation or attribution.

We may modify these Terms at any time. If we make material changes, we will provide reasonable advance notice — for example, by posting a notice on the Site or by emailing the address you have provided — at least thirty (30) days before the effective date, except where a shorter period is required by law. Your continued use of the Site after the effective date constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site.
THE SITE AND ALL SITE CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, CRAFTSMEN RESOURCES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO REPRESENTATION REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF SITE CONTENT, INCLUDING JOB LISTINGS, INDUSTRY CONTENT, INSIGHTS, OR PROJECT NARRATIVES.
YOUR USE OF THE SITE IS AT YOUR OWN RISK.
Some jurisdictions do not allow the disclaimer of certain warranties. To the extent any disclaimer in this Section 11 is unenforceable in your jurisdiction, that disclaimer shall apply to the maximum extent permitted by law.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CRAFTSMEN RESOURCES OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO OR USE OF THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
THE LIMITATIONS IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE BARGAIN BETWEEN YOU AND US AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, THE FOREGOING LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You will indemnify, defend, and hold harmless Craftsmen Resources and its officers, directors, employees, agents, licensors, suppliers, and service providers from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site; (b) any Submission you make; (c) your breach of these Terms; (d) your violation of any law or the rights of any third party; or (e) any false, misleading, or inaccurate information you provide. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense.
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH CRAFTSMEN RESOURCES, LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF, AND CONSTITUTES A WAIVER OF YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
You and Craftsmen Resources agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (each, a "Dispute"), other than the carve-outs in Section 14.5, will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, the Supplementary Procedures for Consumer-Related Disputes (the "AAA Rules"). The AAA Rules are available at https://www.adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this agreement to arbitrate.
Before initiating arbitration, you and Craftsmen Resources agree to attempt to resolve the Dispute informally for at least sixty (60) days. To begin, you must send written notice to Craftsmen Resources at the address in Section 18 describing the nature and basis of the Dispute and the relief sought. We will send our notice to the email or postal address you have provided.
The arbitration will be conducted by a single arbitrator. The seat of arbitration will be Tulsa County, Oklahoma; if the value of the claim does not exceed US$25,000, the arbitration will be conducted by telephone or videoconference unless the arbitrator determines an in-person hearing is necessary. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator will have the authority to grant any remedy that would be available in court, subject to the limitations in these Terms.
YOU AND CRAFTSMEN RESOURCES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING, AND MAY ONLY AWARD INDIVIDUAL RELIEF. YOU AND CRAFTSMEN RESOURCES EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO TRIAL BY JURY.
Notwithstanding the foregoing, either party may: (a) bring an individual claim in small-claims court for any matter that qualifies; (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or stop infringement, misappropriation, or violation of intellectual-property or confidentiality rights; and (c) bring claims that may not be arbitrated as a matter of law.
You may opt out of this Section 14 by sending written notice of your decision to opt out, postmarked within thirty (30) days of the date you first accept these Terms, to:
Craftsmen Resources LLC · Attn: Arbitration Opt-Out · 10301 E. 51st Street, Suite C, Tulsa, OK 74146
The notice must include your full name, mailing address, the email address you used in connection with the Site (if any), and a clear statement that you wish to opt out of the arbitration agreement. Opting out has no effect on any other provision of these Terms.
If any portion of this Section 14 is found unenforceable, that portion will be severed and the remainder will continue in effect. However, if the Class-Action and Jury Waiver in Section 14.4 is found unenforceable as to any claim, that claim must proceed in court rather than in arbitration.
These Terms and any Dispute will be governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles, and by applicable U.S. federal law, including the Federal Arbitration Act. To the extent a Dispute is not subject to arbitration under Section 14, you and Craftsmen Resources agree that the exclusive venue will be the state and federal courts located in Tulsa County, Oklahoma, and each party irrevocably consents to personal jurisdiction in those courts.
Any claim arising out of or relating to these Terms or your use of the Site must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.
These Terms remain in effect while you use the Site. We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, the provisions of these Terms that by their nature should survive will survive, including Sections 5 (Submissions and licenses), 7 (Intellectual Property), 9 (Privacy), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Arbitration), 15 (Governing Law and Venue), 16 (Time Limitation), and 18–22.
Notices to you may be provided by email to an address you have provided, by posting on the Site, or by any other means we choose. Notices to us must be in writing and sent to:
Craftsmen Resources LLC · Attn: Legal · 10301 E. 51st Street, Suite C, Tulsa, OK 74146 · Email: info@craftsmenresources.com
Notices are effective on receipt for written notice and on transmission for email, unless we receive a non-delivery message.
We will not be liable for any delay or failure to perform our obligations resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, civil disturbance, governmental action, labor disputes, utility or telecommunications failure, or third-party service-provider disruption.
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in whole or in part at any time without notice. Any attempted assignment in violation of this section is void.
These Terms, together with the Privacy Policy and any other agreement we have with you, constitute the entire agreement between you and Craftsmen Resources regarding the Site and supersede all prior or contemporaneous understandings, communications, and proposals, whether written or oral.
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other.
The headings in these Terms are for convenience only and do not affect interpretation.
